Welcome to SteelForge Ltd ("we", "us", or "our"). These Terms and Conditions ("Terms") govern your use of our website and the engagement of our industrial manufacturing and engineering services. By accessing our website or commissioning work with us, you agree to be bound by these Terms. If you do not agree, please refrain from using our site or services.

3. Service Agreements & Quotations

All services are provided subject to a separate written agreement or formal quotation. A quotation constitutes an invitation to treat and does not become a binding contract until accepted in writing by the Client and confirmed by us.

Quotations are valid for a period of 30 days from the date of issue, unless otherwise stated. We reserve the right to withdraw or amend a quotation at any time prior to acceptance.

Any variations to the scope of work, materials, or specifications after acceptance must be agreed in writing and may result in additional charges and/or revised delivery dates.

4. Pricing & Payment

Unless otherwise agreed in writing, our payment terms are:

All prices are quoted in Pounds Sterling (£) and are exclusive of VAT, which will be added at the prevailing rate. We reserve the right to charge interest on overdue invoices at the rate of 4% above the Bank of England base rate, calculated daily from the due date until payment is received.

5. Delivery & Risk

Delivery dates provided in quotations are estimates only and are not of the essence. We will make every reasonable effort to meet agreed delivery schedules, but we shall not be liable for any loss or damage arising from delays in delivery.

Risk in the goods passes to the Client upon delivery or collection. Title to the goods remains with SteelForge Ltd until all sums due have been paid in full.

6. Intellectual Property

All designs, drawings, 3D models, calculations, and documentation produced by SteelForge Ltd in the course of providing services remain our intellectual property unless otherwise agreed in writing. The Client is granted a non-exclusive, non-transferable licence to use such materials solely for the purposes of the project for which they were created.

Any intellectual property provided by the Client remains the Client's property, and the Client warrants that such material does not infringe the rights of any third party.

7. Confidentiality

Both parties agree to treat all non-public information disclosed during the course of a project as confidential. This includes, but is not limited to, technical specifications, pricing, business processes, and customer data. This obligation survives the termination of any agreement for a period of three years.

8. Limitation of Liability

Nothing in these Terms limits our liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation. Subject to that, our total liability to the Client in connection with any project shall not exceed the total value of the contract for that project.

We shall not be liable for any indirect, consequential, or special losses, including but not limited to loss of profits, loss of business, loss of production, or damage to reputation, whether arising in contract, tort, or otherwise.

9. Indemnification

The Client agrees to indemnify and hold harmless SteelForge Ltd, its directors, employees, and agents against any claims, damages, or expenses arising from the Client's breach of these Terms, misuse of our website, or infringement of any third-party rights.

10. Termination

Either party may terminate a service agreement by providing 30 days' written notice if the other party commits a material breach of these Terms and fails to remedy that breach within 14 days of receiving written notice specifying the breach.

Upon termination, the Client shall pay for all work completed and materials procured up to the date of termination.

11. Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations where such failure or delay results from any cause beyond its reasonable control, including but not limited to acts of God, war, terrorism, industrial action, fire, flood, epidemic, or failure of suppliers.

12. Governing Law & Jurisdiction

These Terms and any contracts formed under them shall be governed by and construed in accordance with the laws of England and Wales. Both parties agree to submit to the exclusive jurisdiction of the English courts.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Your continued use of our website or engagement of our services after any changes constitutes acceptance of the new Terms. We encourage you to review this page periodically.
